Client Contract Agreement

These Policy and Terms, along with the Application for Corporate Credit and the Terms and Conditions listed on the Company’s web-site, constitute the Service Contract which is the entire agreement between the Company and Client and supersedes any and all other agreements, either oral or written with respect to the subject matter hereof. If any provision of the Service Contract shall be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Termination - If Client does not conform to the conditions stated in this Service Contract, the contract with Client will be terminated with immediate effect without warning or written notice, and the payment made will be retained by the company. The terms apply if a contract was made either verbally or in writing. Please remember, our terms and conditions are created for the Safety of our passengers, employees, other participants and equipment. City Limousine service reserves the right, at its sole discretion, to change, modify, add or remove any portion of this Agreement in whole or in part, at any time, without prior notice. Changes to these Terms and Conditions will be effective when notice of such change is posted.  Terms and Conditions shall be deemed complete and effective upon posting on www.citylimousine.ro. By making your reservation with City Limousine service, you agree to be bound by the following terms and conditions.

I. Billing

Credit card is required for all reservations.  All credit cards will be verified for the quoted price, before vehicle leaves the base.  All credit cards are ID verified. We do not except credit cards provided by a third party, unless we have successfully verified the owner and approval from the owner was obtained in writing. The customer will be charged at the completion of the service.  We accept all major credit cards. Additional charges, including, but not limited to "Additional Waiting Time", "After hours", "Overtime", "Gratuity", "Fuel Surcharge", "No Show" and other fees, will be itemized on the invoice.  Corporate accounts will be charged an additional 5% if payment was made by corporate credit card.

II. Reservations & Cancellations

A. Reservations

To make reservations, please use our online booking system or call us at 0747 788 511. Please note that all bookings must be made online using our website or over the phone. We cannot accept reservations received by other website or by post. You may only place reservations and make communications with us in English and Romanian, and all contracts concluded between us will be in English and Romanian. All reservations will be processed within 24 hours , and an email send to the client no later than 1 working day after receipt, confirming the reservation. However it is the client’s responsibility to provide the correct email address or/and contact our office if you a reservation notification has not been received, within the 72 hours after reservation was placed. Upon receipt of your reservation request, subject to availability, we will email your confirmation in writing. Reservations are not valid, unless you have a written confirmation from City Limousine service. Only our office staff has the right to make and confirm reservations. Our drivers, tour guides and other employees do not make reservations and confirmations will be void. We recommend that you make your reservation at least 7 days prior to the actual pick-up time.  However, last minute reservations are possible depending on vehicle availability.

To avoid misunderstanding, please check your confirmation carefully. If you find any mistakes in the confirmation letter, please contact us immediately. Our drivers will be routed by the information on the confirmation letter, such as pick up address and pick up times.

1. Hourly Reservations / Charter - Overtime: A minimum of 2 hour rental is required for this service. Please ask your driver, if it's possible to go over the reserved time. Approval of the overtime is not guaranteed, as it depends on vehicle availability. Overtime: Be sure to reserve the vehicle for as long as you think you will need it. If you need to extend your rental we will be happy to do so as long as there is still available, however availability of additional hours at the last minute beyond those reserved cannot be guaranteed as someone else may have already booked the vehicle following your scheduled rental time. A 15 minute grace period is allowed following the reserved time. Travel time begins when the vehicle arrives at the pick-up location and terminates upon the vehicle’s drop-off at destination, in 15 minute increments.

2.We will make all efforts to provide the vehicle reserved by the client. In the unlikely event that we are unable to do so, we reserve the right to provide a substitute vehicle of similar type and capacity. The customer will be informed of this service change.

3. Deposit: No deposits are required to make a reservation if the customer provided a valid credit card. All credit cards will be owner verified by ID check.

B. Cancellations

a. Customer Cancellations & Deposit Refunds: If a sedan cancellation is made 7 or more days before the scheduled pickup date all deposits made will be fully refunded. For Holidays, Prom Dates or other special events refunds will be made for cancellations made 31 days or more before the scheduled pickup date. No refunds will be made for cancellations made 7 days or less before the scheduled pickup date. For Holidays, Prom Dates or other special events no refunds will be made for cancellations made 30 days or less before the scheduled pickup date. We have a NO cancellation policy for Fridays, Saturdays, Sundays and all major holidays. If you must cancel any time after the following allotted time periods you will be charged the full price of the reservation.

b. Company Cancellations & Refunds - We reserve the right to cancel the limousine hire contract between us if:

1) the client doesn't accept our terms and conditions and/or refuse to make a deposit payment,

2) we do not operate in your area, or

3) one or more of the limousines you have booked  no longer will be able to cover your reservation.

If we do cancel your limousine hire contract we will notify you by e-mail or phone and we will re-credit your account with any sum deducted by us from your credit card as soon as possible, but in any event within 30 days of your reservation. We will not be obliged to offer any additional compensation for disappointment suffered.

c. Date changes and route modifications: Please note that changing the pickup time is not considered a cancellation, please be aware that you can change your pickup time anytime you want without being charged any fees.  Any requests to modify any of these details should be made to us at least 7 days in advance of the date of travel and we will make all efforts to accommodate such changes to the customer's requirement subject to availability. Agreed journey changes, including additional pick up or drop off points, may result in additional costs to the customer. Any additional cost will be notified to you at the time the requested changes are accepted by us.

d. Cancellation for Charter service: Cancellations made seven days or more in advance will incur no additional fee. If a cancellation is made within three to six days we will charge credit card on file 50% of original fee. If a cancellation is made less than three days prior to date of job we will 100% of original fee. Friday and Saturday jobs require a two week advance cancellation in order to avoid full charge.

e. Cancellation for Point-to-Point service: If cancellation is made less than 24 hours in advance we will charge client 100% of original fee.

f. Cancellation for Airport Pick-up and Drop-off: If cancellation is made less than 24 hours in advance we will charge 100% of original fee.

In the event of a cancellation any lost deposits cannot be used toward an alternate date in the future. If the reservation(s) is cancelled within the required time parameters, it is the Client’s responsibility to obtain a cancellation number, given at the time the order is cancelled, in order to avoid late charge.

III. Waiver of liability for Personal Belongings

We are not responsible for articles lost, stolen, damaged, or left in our vehicles. You expressly waive any and all notice from City Limousine service regarding any lost, stolen, damaged or belongings left in our vehicles, or the disposal of same. Renter assumes sole responsibility for any and all lost, stolen or missing personal items during the term of the rental. Please check for your belongings before exiting the vehicle. IV. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under the Service Contract, and the Company shall not be deemed in breach of its obligations thereunder, if such failure or delay is due to Acts of God, natural disasters, national, state or local states of emergency, acts of war or terrorism, labor strike or lock-out, or other industrial or transportation accident caused by any third party, any violation of law, regulation or ordinance by any third party or any other cause not within the control of the Company. We are not liable for circumstances beyond our control, including weather, road conditions, mechanical breakdown, etc. Emergency Vehicle Substitution. In the unlikely event that a last minute mechanical breakdown or accident puts a vehicle temporarily out of service City Limousine reserves the right to substitute an alternate vehicle, or vehicles from our fleet or from our affiliates' fleet. Alternate vehicle, or vehicles may possibly be different in size or description than originally booked vehicle depending on availability. No refunds or discounts will be given if an alternate vehicle is provided at the agreed upon pickup time.

V. Limousine Arrival Time

The time of arrival at starting point, stop-over point, destination or return to point of origin cannot be guaranteed. Travel speed limits are prescribed by law, and Chauffeur is instructed to travel at all times at speeds compatible with safe operation. Road, traffic and weather conditions are beyond the control of the Company and the Chauffer, and no refunds shall be given as a result of late arrivals due to such conditions or other occurrences out of the control of the Company or the Chauffeur.

We reserve the right to refuse service to anyone without explanation.

VI. Damages

The client assumes full financial liability for any damage to our vehicle, caused during the duration of the rental by them or any members of their party.  A damage fee of €250.00 will be charged if the client or any member of their party causes any damage to the vehicle, interior or exterior, electronic equipments, etc.  In addition to the €250.00 damage fee, the client will be charged the actual cost of repair or replacement of any damaged parts and materials and will be responsible for vehicles down time at the rate of €250 per day during the repair. The repair or replacement of any damaged items shall be at the sole discretion of City Limousine service. Where the booking was secured using a credit/charge card the customer agrees with a charge on the card for damages if they arise. Other Charges: Other charges will apply for damaged vehicle items. There will be non negotiable charge of €300 for vomiting inside the vehicle.

VII. Substance use

Drug Use Prohibited: Romanian Law prohibits drug use.  Any use shall result in termination of the transportation and a charge for the full quoted price and other occurring charges. No illegal drugs to be carried or used in the vehicle at anytime. Chauffeur at his sole discretion may terminate the trip with no refunds if illegal activity is occurring inside the vehicle. Police may also be notified. No Underage Drinking or underage possession of alcohol in the vehicle at anytime. Chauffeur at his sole discretion may terminate the trip with no refunds if underage drinking is occurring inside the vehicle. The Company reserves the right to refuse to transport persons under the influence of intoxication liquor or drugs, or who are, or are likely to become objectionable to other persons or if the Chauffeur feels threatened in any way.

VIII. Suitable Behavior

Please refrain from excessive drinking, be respectful to the chauffeur, refrain from the use of foul language, and unacceptable behavior - it will lead to termination of the transportation. Client shall not interfere with the Chauffeur in the discharge of his/her duty or tamper with any apparatus or appliance on the vehicle.

IX. Hazardous objects & materials

Carrying of Weapons, Explosives, Oxygen, Pets, Livestock And Other Dangerous Or Unusual Cargo is strictly prohibited. Weapons of any type, including firearms, are strictly forbidden on any Equipment (whether in baggage or on the person) at any time. Transportation of explosives, fireworks and other flammable, combustible, toxic or otherwise dangerous material or items or pets or livestock of any kind are also strictly forbidden, even if intended to be transported in the baggage compartment of the vehicle. If previously approved by the Company, oxygen for medical use small contained pets are permitted, but is so at the sole responsibility of the Client.

X.  No Eating  is allowed in the vehicle.

XI. No Smoking

All of our vehicles are No Smoking vehicles. Chauffeur at his sole discretion may terminate the trip with no refunds if smoking is occurring inside the vehicle. A minimum €100 cleanup fee will apply if smoking occurs in one of our vehicles.

XII. No Show Charges

If Client is unable to locate Client’s Chauffeur for any reason, Client should immediately contact the Company at 074 778 8511 Our Dispatch Offices will be able to locate the Chauffeur immediately and facilitate a meeting point. “No Show” charges will apply in the event the Client fails to call our office before leaving the scheduled pickup location. This charge also applies if Client fails to cancel the reservation and the Chauffeur is dispatched. No Shows charges are billed at the respective minimums for each specified vehicle type. The charge will cover the full price agreed for the trip. Example: If you do not see your driver at a certain pick up point do not leave the spot before calling the dispatch room (must call # on your confirmation). We will connect you together. If you leave without calling you will be billed for the full price of the ride. If we do not hear from you, the driver will wait up to 15 minutes at regular pickups and up to 45 or 60 minutes at inside airport pickups after the scheduled pickup time then call the dispatch room, we will then try to reach you by calling you at your cell phone, your home phone, or your contact person's phone all depending on the nature of the pickup. If we do not get a response we will then release the car and you will be billed for a “No Show” which will be the Full Price of the ride. If you authorize the waiting time the driver will wait up to 2 hours. If we do not hear from you after the time frame, we will contact you again if no contact is made you will get billed for the ride plus the waiting time. Therefore A “No Show” fee is equal to the trip cost plus applicable wait time fee will be charged when the passenger fails to arrive at the designated location. If you cannot locate your Driver, Please call # on your confirmation to avoid a “No Show” fee. This will be charge to your card on file.

XIII. Service Rates & Currency

Rates, terms, & conditions are subject to change without prior notification. Special rates, extended minimums and alternate cancellation policies may apply on special event days. Tolls and parking charges are additional. All rates are calculated in the local currency and billed in Romanian RON at the prevailing exchange rate. Charges may consist of: Fare of the trip, waiting time, stops, highway fees, airport fees and parking fees.

XIV. Baggage and Other Transported Property

The Company does not assume any responsibility whatsoever for the handling or maintenance of any baggage, parcels or other property. Baggage and all other personal property will be handled only at Client’s own risk. Client’s baggage shall be carried subject to the available accommodations.

XV. Point To Point Fare

Prices calculated based on mileage and zones for sedan trips to and from towns of Sibiu and Cluj areas. Any other sedan trips not found in the database would be priced at €1/km. City Limousine service has standardized point-to-point rates that provide flat rate pricing for travel to and from most major cities and airports. Sedan rates for travel between locations in which a point-to-point rate does not exist will be billed at City Limousine service's hourly rate. Customers are billed from the time the vehicle leaves the City Limousine Service facility until the time it returns to the City Limousine Service facility, with 2 hours minimum. Fractions of an hour are rounded to the next 15 minute interval. Corporate accounts that meet the minimum usage requirements might eligible for special discounts depending on volume. Check with an account sales representative for special pricing on 3 frequent destinations your company requires.

XVI. Airport Drop Offs/Pick ups

Full flight details help us to give you punctual service. While we monitor a flight’s status in real time, we cannot deem all information without error. We will make routine checks to monitor incoming flights, however if your flight is delayed, either outbound or inbound you should make immediate contact with City Limousine for rescheduling. We will accommodate delayed flights times, but cannot be held liable should circumstances prevent us from unforeseen events preventing us to respond to such changes. In the event we are not reasonably notified of delays, we reserve the right to make additional charges for subsequent collection. Billing shall revert to the Company’s prevailing hourly rate, see below, in the event the Client is delayed, or the waiting time exceeds the allotted fifteen 15 minutes. A service fee of €15 will be applied to all international customs flights for customs and extended on the ground airport procedures. City Limousine’s service Meet and Greet Airport Service is offered for a €7 fee. However parking and waiting time charges (if incurred) will be billed to your account or credit card. The chauffeur is instructed to meet the passenger by the baggage claim with a sign that has his or her last name on it, The driver will then escort the passenger to the designated car location assisting with the luggage. This package comes with a complimentary 30 minutes free for domestic flights and 45 minutes free for international flights from the adjusted arrival time.

XVII. Private aviation

City Limousine service does not monitor private flights, therefore, waiting time will be charged as incurred for any passenger arriving on a private plane that is delayed by more than 15 minutes.

XVIII. Waiting Time

A 15 minute grace period is granted for all other pick-ups. Waiting time will be charged at 15 minute increments after the grace period for sedans. Any additional wait time will be charged in 15 minute increments based on the hourly rate for that particular vehicle. City Limousine service monitors all domestic and international flights, billing starts after grace period allowed from the official time of arrival (ETA). For train station pick-ups, train schedules can’t be monitored. Therefore, billing begins at the scheduled pick-up time.

XIX. Stops

City Limousine service charges €2 for stops made within the same town and €5 for stops made in towns within the route of destination. Courtesy stops, such as briefly leaving the vehicle to pick up coffee, a newspaper or to mail a letter, do not incur extra charges. However, if longer stops or multiple stops are made you will be billed stop charges. Picking up additional passengers will also incur stop charges.

XX. Credit Card Transactions

We only take an authorization on the card to guarantee funds availability, it will show as Pending funds, if you check your credit card account statement on-line. The authorization amount is usually higher than the expected charges just in case if you decided to make some additional stops you did not inform us of or changed your destination. We will then only charge your card on the day of the ride. Cards will be processed by Raiffeisen Bank Romania on behalf of SC EzMax Express SRL, and will appear in your card statement as “City Limousine.

XXI. Disputes

For Corporate clients with established corporate accounts meeting the €200 a week minimum usage requirements, all charges of the invoice will be considered correct and due upon receipt, unless we receive a written objection within 15 days from the invoice date in writing. Copies of the vouchers under dispute should be faxed or mailed to us and the disputed charges or items should be indicated. All disputes initiated after the allowed time frame period will be considered final and none refundable. For Individual accounts and personal profiles, All charges applied to the customer's credit card will be considered correct, unless we receive a written objection within 15 days from the charge date in writing. Copies of the credit card statement or credit card slips or vouchers should be faxed or mailed to us and the disputed charges or items should be indicated. All disputes initiated after the allowed time frame period will be considered final and none refundable. All disputes should be forwarded to our billing department in writing and you are entitled not to pay the disputed amount until resolved. In the unlikelihood event of a complaint, a senior manager at City Limousine will personally deal with it and keep you informed on the progress of the dispute.

XXII. Collection Fees

In order to collect  payments due in case of non-payment you  agree to pay all legal counseling fees, litigation fees, legal fees, costs, accounting fees, expenses and disbursements for all actions taken prior to, during and subsequent  to the initiation of legal proceedings.

XXIII. Itemized Invoices

For Corporate clients with established corporate accounts meeting the €200 a week minimum usage requirements, itemized invoices are being send regularly every 30 days, including a copy of signed vouchers by passengers authorized to use the account.

XXIV. Payment Due Date

For Corporate clients with established corporate accounts meeting the €200 a week minimum usage requirements. All payments should be received no later than 5 days from the invoice date. Payments not received within the time frame allowed shall occur interest charges added of %18 yearly or %1.5monthly. For Individual accounts, personal profiles and credit card holders the total charge will be charged to their credit card after completion of ride

XXV. Gratuity

City Limousine service does not apply any MANDATORY GRATUITIES nor any HIDDEN FEES to it's clients however a tip can be given separately to the driver upon the customer's discretion and satisfaction.

XXVI. Limitation of Liability

THE COMPANY SHALL NOT BE LIABLE IN ANY EVENT OR FOR ANY REASON, INCLUDING BREACH OF THIS AGREEMENT, EITHER DIRECTLY OR INDIRECTLY, TO THE OTHER PARTY OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR LOSS OF PROFITS ARISING OUT OF THIS AGREEMENT, EVEN IF SUCH DAMAGES WERE FORESEEABLE OR THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.IT IS EXPRESSLY AGREED THAT THE COMPANY SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO ANY PARTY FOR AN AMOUNT GREATER THAN THE SINGLE FARE FEE FOR THE DAY IN QUESTION.
